Job Summary

  • The Company Secretary Legal Counsel is responsible for providing legal advisory services and ensuring the Company complies with all statutory, regulatory, and corporate governance requirements.
  • The role serves as the Secretary to the Board of Advisors, coordinating Board activities, maintaining corporate records, providing legal guidance to Management, and ensuring that the Company's operations and decisions are legally compliant and aligned with best governance practices.

Key Responsibilities

  • Serve as Secretary to the Board of Advisors and provide administrative and governance support to the Board.
  • Coordinate Board and Committee meetings, including preparing meeting notices, agendas, board packs, minutes, and resolutions.
  • Maintain accurate statutory registers, Board records, resolutions, and other corporate documents.
  • Ensure compliance with the Companies and Allied Matters Act CAMA, regulatory requirements, and corporate governance standards.
  • Draft, review, negotiate, and manage contracts, agreements, memoranda, and other legal documents.
  • Ensure timely filing of statutory returns and other corporate documents with relevant regulatory authorities.
  • Maintain proper custody of the Company's legal documents, statutory records, and corporate seal.
  • Ensure the confidentiality and security of sensitive legal and Board information.
  • Perform any other legal, corporate governance, and Company Secretarial duties as assigned by the Board or Management.

Qualifications & Requirements

  • Bachelor's Degree LL.B. in Law.
  • Membership of the Nigerian Bar Association NBA.
  • 2–3 years of post-call experience in corporate/commercial law, company secretarial practice, or a related field.
  • Strong knowledge of the Companies and Allied Matters Act CAMA, corporate governance principles, commercial law, and regulatory compliance.
  • Experience serving as Board Secretary or supporting Board governance activities is an added advantage.
  • Excellent legal drafting, minute-taking, communication, and organizational skills.
  • High level of integrity, discretion, confidentiality, and attention to detail.
  • Proficiency in Microsoft Office Suite and document management systems.
